Vue Parc

Terms of service

These terms govern every subscription at Vue Parc. They are written to be read, not skimmed. When the page, the FAQ and these terms describe the same thing, these terms are the ones that bind.

1. Who is who

Vue Parc is the trading name of Vue Parc LLC, a limited liability company organised in Florida, United States ("the studio", "we"). The house named on the application ("the house", "you") is the client. The person who submits the application confirms they may bind the house to these terms.

One subscription serves one brand. One person on the house's side holds the private platform and approves the work; a creative director on the studio's side makes it. Sister brands, sub-brands and group companies each need their own subscription.

Ticking the box on the application is the house's signature. It accepts these terms as a binding contract between the house and the studio, and the studio records the version accepted. Each later version governs from the cycle described in section 14.

The house subscribes as a business, for business purposes, and not as a consumer. It agrees that these terms, notices and records may be given, accepted and kept electronically, and that email and the private platform satisfy any requirement that they be in writing.

The studio works as an independent contractor. Nothing in these terms makes either side the other's partner, agent, employee or joint venturer, and neither may bind the other.

2. The application and the hold

While openings remain, applying reserves your first month on your card. The card is authorised, not charged. We reply within 48 hours on business days.

If we accept, the hold is captured as payment for your first cycle and your private platform opens, usually within the hour. If we decline, the hold is released and nothing is billed. Where we decline only because we do not have the capacity, the house joins the waitlist. If we have not replied within seven days the hold lapses on its own, nothing is billed, and the house joins the waitlist.

When the last opening is taken the roster closes. Brands that apply after that join a waitlist in the order they applied, with no card held. Openings are offered in waitlist order, to brands the studio can serve at the time. When an opening comes up, the next such brand receives a private link to apply, valid for 48 hours, and the opening is held for it until then; if the link is not used, it passes to the next brand and the first moves to the back of the list.

3. The subscription

The subscription is billed monthly in advance on the card or bank account on file. The captured hold pays the first month; every month after is billed on the same day of the month. The subscription renews automatically each month until it is cancelled under section 11. It gives the house one active request at a time, made in the order the house sets on its private platform, for as long as the subscription is paid.

If a payment fails, the studio may pause work and the private platform until it is paid, and the payment is retried once a day for three days. If it is still unpaid after the third retry, the subscription ends that day, and no file delivered in the unpaid cycle is licensed to the house. The house agrees not to dispute a charge made under these terms with its card issuer or bank; a disputed charge is treated as non-payment, and the house bears the cost of the dispute.

The studio may change the monthly rate for future cycles with 30 days' notice. The new rate applies from the first cycle billed after the notice ends, and the house may cancel before then.

Prices do not include sales or similar taxes. Where the law of the house's location taxes the subscription, the tax is added to the invoice and paid by the house.

4. What a request is

One request is one set of finished assets: a single concept executed as a set of finished editorial images (typically five) or one video of up to fifteen seconds, delivered in 4:5 and 9:16. Revisions to those assets are made while the subscription runs and never count as a new request. A change of concept is a new request.

A request larger than one set of assets (a campaign of several requests, or images and videos together) is broken down by the studio and delivered in parts, usually every 24 to 48 hours on business days, until it is complete.

Every request includes:

  • Synthetic models from the studio's own library
  • Your product, placed from your own photography
  • Colour and retouch pass
  • Upscale to print-safe resolution
  • Files named and filed to your shared folder
  • Licensed for any use of your own once the cycle is paid: social, email, your site, paid, print, out-of-home

5. What the studio does not make

The studio may decline a request, or part of one, that it judges unlawful, infringing, defamatory, sexually explicit or deceptive, that copies another brand's campaign, trademark or identifiable style, or that would present a real person, place or event as real. A declined request does not count against the house.

Anything that fits within one request under section 4, and is not in breach of these terms, is in. The following are outside every subscription:

  • A real person's likeness without a signed release
  • Brand identity and logo systems
  • Packaging
  • Web development
  • Print production
  • 3D
  • Copywriting
  • Anything that needs a real shoot

6. Delivery times and business days

Most requests arrive within 24 to 48 hours on business days. Business days are Monday to Friday, excluding United States federal holidays. A request made on a Thursday usually arrives Friday; a request made over the weekend is started on the next business day.

24 to 48 hours on business days is our working standard, not a guarantee; a complex request can take longer. If a request will run past its expected day we tell you on your private platform before the day passes. If it runs past without a word from us, one day is added to your current cycle at no charge.

The delivery clock runs from the moment the studio has what it needs to begin. Time spent waiting for the house's answers, approvals or materials does not count.

7. Ownership and licence

Final files delivered in a cycle are yours once that cycle has been paid. On that payment the studio grants the house a perpetual, worldwide, exclusive licence to use the final files in any medium and for any purpose of the house's own (including social media, email, websites, paid advertising, print, out-of-home, packaging and broadcast), and to crop, resize, subtitle and caption them for those uses. To the extent copyright subsists in the final files, the studio assigns it to the house on the same payment, subject to the rest of this section and section 10.

The house may not resell, sublicense or supply the final files to a third party except to its own agencies, printers and platforms for the house's own uses. The house may not present the images or videos as photographs or footage of real people, real places or real events.

Drafts, rejected frames and working files remain the studio's. The studio keeps all rights in its synthetic model library, its prompts, its methods and its tools, and may use them for other houses.

Product photography, logos, brand assets and references supplied by the house remain the house's. The house confirms it holds the rights needed to supply them and to have them reproduced in the work.

Videos are delivered without music. Any font, music, stock or other third-party material the house asks the studio to include is the house's to license, and the house is responsible for that licence.

After a first-week refund under section 11, the files delivered that week remain licensed to the house. Ideas and suggestions the house offers about the studio's service, as distinct from its briefs and materials, may be used by the studio freely.

The final files are generated with artificial intelligence. The studio does not warrant that copyright subsists in them, or that others using the same kinds of tools cannot make images that resemble them. The exclusivity in this section binds the studio: it will not supply the house's final files to anyone else.

8. Synthetic models and real people

The models in the studio's library are synthetic. They are not made to depict, or intended to resemble, any real person; if a resemblance is ever pointed out, the studio replaces the model. The studio will not generate the likeness of a real person without a signed release from that person, on the studio's form, before work begins.

9. Disclosure

The images and videos are generated with artificial intelligence under the direction of the studio's creative directors. The studio supplies, with every delivery, the disclosure line "Imagery created with AI, art-directed by Vue Parc." and keeps the AI metadata its tools write into the files where the file format allows.

The house is the publisher of the work. The house alone is responsible for disclosing that the images and videos are made with artificial intelligence, wherever and however it publishes them, as required by Article 50 of the EU Artificial Intelligence Act, platform rules, and any synthetic performer, advertising or consumer protection law that applies to it. The studio's duty ends with supplying the disclosure line; it is not responsible for whether or how the house discloses. The house will not remove the disclosure metadata the studio supplies.

10. Showing the work

All work is private by default. The studio keeps no public client list. It shows a piece in its portfolio or its own channels only with the house's approval for that piece, and never before the release date the house sets. The house is named only with its approval; otherwise any work shown is shown unnamed. Approval is given by email or on the private platform.

The house can withdraw its approval for work not yet shown at any time. Discretion carries no charge. Any work the studio shows carries the same AI disclosure it hands to the house.

11. Cancellation and refunds

The house may cancel at any time from its billing portal or by email. The subscription runs to the end of the current cycle, work in progress is finished, and nothing further is billed. The house cannot pause a subscription.

If the house cancels within seven days of the start of its first cycle, 75% of that first payment is refunded and the subscription ends on the refund; the 25% kept covers the work of that week. After the first seven days there are no refunds.

The studio may end a subscription with notice to the end of the current cycle, and immediately for breach of section 7, 9 or 12, non-payment, or conduct toward its people that it will not accept. A subscription the studio ends for breach or non-payment is not refunded.

12. Confidentiality and the studio's people

Briefs, product information, unreleased work, the fact that the house works with the studio, and anything marked confidential on the private platform stay confidential on both sides for as long as the subscription runs and for three years after it ends, except as section 10 allows.

Every creative director who works on the house's account is bound in writing to the same confidentiality and may not show the work or name the house. The studio will sign the house's own non-disclosure agreement on request, before the first request begins, where its terms are consistent with these.

Confidentiality does not cover information that is public through no fault of the side that received it, that the side already held before the subscription, or that the law or a court requires it to disclose, with notice to the other side where the law allows.

While the subscription runs and for twelve months after it ends, the house will not hire or engage, directly or through anyone else, a creative director who has worked on its account, except through the studio. If it does, it pays the studio a placement fee equal to three months of its subscription rate. A public job advertisement that a creative director answers on their own is not a breach.

13. Responsibility

The studio provides the work with professional care for the uses in section 7. Beyond what these terms say, the work is provided as it is, and to the fullest extent the law allows the studio gives no other warranty, express or implied, including of merchantability, fitness for a particular purpose or non-infringement. The studio does not warrant that any image or video will suit a purpose the house has not briefed, or that any platform will accept it.

To the fullest extent the law allows, the studio's total liability to the house under these terms, however arising, is limited to the fees the house paid in the three months before the claim. Neither side is liable to the other for indirect loss, lost profit or lost business.

The house is responsible for its own use of the work and for the materials it supplies. It will defend, indemnify and hold harmless the studio, its members and its creative directors against any claim, loss, cost and reasonable attorneys' fees arising from the materials it supplies, its use of the work, its labelling under section 9, its advertising claims, or its breach of these terms. The studio may choose its own counsel and control its defence, at the house's expense.

The house is responsible for the legal compliance of its own advertising, including product, health and efficacy claims and the rules on advertising alcohol. The house keeps its own copies of delivered files; the studio is not responsible for their loss after delivery or after the shared folder closes.

The studio's members, creative directors and contractors have no personal liability to the house. Any claim is against the studio alone.

Any claim under these terms must be brought within one year of the event that gave rise to it.

14. General

Neither side is responsible for delay caused by events outside its reasonable control, and the studio's delivery promises are suspended for the duration of such an event. The private platform, the shared folder and the tools behind them are run by third parties, and the studio is not responsible for their interruptions.

The studio may update these terms with 30 days' notice on the house's private platform and by email. The terms in force when a cycle is billed govern that cycle. Continuing into a new cycle after notice is acceptance of the updated terms.

These terms are governed by the laws of the State of Florida, without regard to its conflict of laws rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply. The state and federal courts in Broward County, Florida, have exclusive jurisdiction, and both sides submit to them. Each side waives trial by jury. The side that prevails in a dispute under these terms recovers its reasonable attorneys' fees and costs.

The house may not transfer these terms without the studio's written consent. The studio may transfer them, with notice, to a company that takes over its business.

Notices to the house go to the email on its application or its private platform; notices to the studio go to studio@vueparc.com. An email notice is received on the business day after it is sent.

Sections 1, 3 (as to amounts owed and disputed charges) and 7 to 14 survive the end of the subscription. A right not enforced is not waived. If any part of these terms is found unenforceable, it is enforced to the extent it can be and the rest continues.

These terms, the application, the private platform and any non-disclosure agreement signed under section 12 make up the whole agreement. Questions to studio@vueparc.com.
